ACPI, Phoenix Bios, D/240SC-T1 Problems

Have tried everything I know how to do, but can not get a D/240SC-T1 to work with a new P4 single-board-computer card in an ISA server. Many thanks for any advice!

Here's a quick summary of the problem I'm trying to solve:

Dialogic driver/service will not start with D/240SC-T1 card installed.

CPU Info:
Single board computer manufactured by Nexcom. PEAK Product Model number is: PEAK235VL2G(20FD)
P4 3.2, 800FSB
Interrupt 5 reserved for Legacy ISA in Bios.
Bios is Phoenix - Award 6.00PG
ACPI turned off in Bios (windows 2003 server installed without ACPI support per info on Intel web site related to conflicts with ACPI, Phoenix Bios and ISA Dialogic cards).
64k memory hole reserved at D000

Dialogic Driver info:
Version 5.1.1.2 with "standard" install.
Settings for D/240SC-T1:
BLTid: 0x00
BLT address: D0000
BLT Interrupt: 5
ISABusWidth: 16
All else = default

D/240SC-T1 info:
Rev 3
No other Dialogic boards installed
PEB terminator not installed (tried in Net position with no success)

Operating System:
Windows 2003 Enterprise Server
Installed without ACPI support (driver did not load with ACPI support enabled in both OS and BIOS either)

General Configuration:
No other cards installed in system other than Single Board Computer and one D/240SC-T1.
